1. Introduction

Welcome to AquaStore, a global business to business digital marketplace and technology platform for the pool, spa, water treatment, water filtration, irrigation, wellness and related industries.

The platform is operated by:

These Terms and Conditions govern your access to and use of the AquaStore website, mobile applications, services, features, subscriptions, listings, RFQ system, project system, tender system, promotional tools and related platform services.

By accessing or using AquaStore, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the platform.

2. Platform Description

AquaStore is a business to business marketplace and technology platform that enables companies to create profiles, publish product and service listings, discover suppliers, submit RFQs, participate in project or tender related opportunities and use promotional visibility tools.

The platform may include, without limitation:

• company profiles;
• product listings;
• service listings;
• classified advertisements;
• supplier discovery tools;
• RFQ system;
• project marketplace;
• tender related features;
• industry catalog;
• search and filtering tools;
• subscription services;
• promotional tools including Boost, Pin and VIP Listings;
• banner advertising;
• Knowledge Center and Buying Guides;
• AI search, AI support or AI assisted features where available.

AquaStore supports industry sectors including, without limitation:

• swimming pools;
• spa and wellness;
• water filtration and treatment;
• water irrigation;
• water equipment;
• industry services;
• construction and project related services;
• related commercial and technical sectors.

AquaStore operates solely as an independent technology platform connecting businesses. AquaStore is not a buyer, seller, manufacturer, distributor, supplier, contractor, installer, consultant, inspector, certifier, agent or party to transactions between users.

3. Eligibility

AquaStore is intended for business users.

By using AquaStore, you represent and warrant that:

• you are at least 18 years old;
• you are acting on behalf of a company, business, professional entity or commercial organization;
• you have authority to represent that business;
• all information you provide is accurate, current, lawful and not misleading;
• your use of the platform complies with applicable laws and regulations.

AquaStore may request verification of company information and may suspend, restrict or terminate accounts if verification fails or if false, incomplete or misleading information is provided.

4. User Accounts

Certain platform features require account registration.

Users agree to:

• provide accurate account and business information;
• keep login credentials confidential;
• maintain secure access to their account;
• accept responsibility for all activity conducted through their account;
• promptly notify AquaStore of unauthorized access or suspected security issues.

AquaStore may suspend, restrict, remove or terminate any account if it believes the account violates these Terms, creates legal or reputational risk, harms other users, misuses the platform or provides false information.

5. Marketplace Role and No Transaction Responsibility

AquaStore provides a digital marketplace platform only.

AquaStore does not manufacture, sell, buy, supply, distribute, deliver, install, inspect, certify, warrant or guarantee any product, service, supplier, buyer, contractor, quotation, RFQ, tender, project, listing or transaction.

All transactions, negotiations, quotations, payments, deliveries, warranties, returns, technical discussions, inspections, certifications, installation services and disputes occur directly between users.

AquaStore is not responsible for:

• product quality;
• service quality;
• delivery;
• installation;
• payment;
• warranty;
• certification;
• technical compliance;
• legal compliance;
• customs or import requirements;
• disputes between users;
• transaction failure;
• supplier performance;
• buyer reliability;
• accuracy of listings;
• accuracy of RFQs, tenders or project information.

Users must conduct their own due diligence before entering into any commercial transaction.

6. Listings and Advertisements

Users may publish product listings, service listings, company profiles, advertisements and related business content.

Users are solely responsible for the accuracy, legality, authenticity, completeness and compliance of all listings and content they submit.

Users must not publish:

• fake listings;
• misleading product or service information;
• counterfeit products;
• false certificates;
• unauthorized brand claims;
• illegal goods or services;
• infringing content;
• misleading pricing;
• fraudulent offers;
• content that violates applicable laws or third party rights.

AquaStore may review, reject, edit, remove, downgrade, hide, suspend or delete any listing, advertisement, company profile or content at its discretion if it believes such content violates these Terms, creates risk or is unsuitable for the platform.

7. User Content License

By submitting listings, company profiles, product information, service information, images, documents, descriptions, RFQs, tenders, project information, logos, brand materials or other content to AquaStore, the user grants AquaStore a worldwide, non exclusive, royalty free, transferable and sublicensable license to host, display, reproduce, publish, translate, format, modify for technical or presentation purposes, distribute, promote, index, analyze and use such content for platform operation, marketing, SEO, analytics, advertising, commercial promotion and service improvement.

The user confirms that it has the necessary rights and permissions to submit such content and that the content does not infringe third party rights.

8. RFQ System

AquaStore may provide a Request for Quotation system allowing buyers to submit RFQs and suppliers to respond.

AquaStore does not verify, guarantee, endorse or accept responsibility for:

• RFQ accuracy;
• buyer reliability;
• supplier responses;
• quotation accuracy;
• prices;
• product availability;
• technical specifications;
• delivery terms;
• payment terms;
• contract performance;
• completion of any transaction.

All RFQ related negotiations and agreements occur directly between users.

9. Project and Tender Features

AquaStore may allow users to publish, discover or participate in project and tender related opportunities.

AquaStore does not guarantee:

• accuracy of project or tender information;
• qualification of participants;
• fairness of selection;
• award results;
• contract execution;
• payment;
• delivery;
• compliance;
• project completion.

Any tender award, project result, supplier selection or business decision is the responsibility of the relevant users. AquaStore may display project or tender related information for platform purposes only and does not become a party to any contract.

10. Verified Supplier and Badges

AquaStore may provide verification features, badges, rankings, profile statuses, featured placements or other trust indicators.

Any verification, badge, ranking, featured placement or profile status is for platform information and visibility purposes only.

It does not constitute a legal guarantee, warranty, endorsement, certification, audit, inspection, approval or confirmation of any supplier, buyer, product, service, license, certificate, transaction, project or business performance.

Users must conduct their own due diligence.

11. Subscription Services and Promotional Tools

AquaStore may offer subscription plans and paid promotional services.

Subscription plans may include, without limitation:

• Basic;
• Pro;
• Pro Plus;
• VIP Pro;
• other plans introduced by AquaStore.

Paid promotional tools may include, without limitation:

• Boost Listings;
• Pin Listings;
• VIP Listings;
• banner advertising;
• featured supplier placement;
• promoted listings;
• other visibility tools.

Paid subscriptions and promotional services are intended to provide access, visibility, placement or platform features only.

AquaStore does not guarantee inquiries, leads, RFQs, tenders, project awards, contracts, sales, revenue, impressions, clicks, rankings, conversion rates or business results.

12. Payments

Users agree to pay all applicable fees for subscriptions, advertising, promotional services or other paid features.

Payments may be processed through approved third party payment providers. AquaStore may not store full payment card details if such details are processed directly by payment providers.

AquaStore may modify pricing, plans, features or payment terms from time to time. Pricing changes will apply prospectively unless otherwise required by law or agreed with the user.

Failure to pay applicable fees may result in suspension, downgrade, restriction or termination of paid services or account access.

13. Prohibited Activities

Users must not:

• publish fraudulent, false or misleading listings;
• impersonate another company or person;
• misuse company names, logos or trademarks;
• upload malware, viruses or harmful code;
• attempt unauthorized access to the platform;
• scrape, copy, harvest or extract platform data without permission;
• interfere with platform security or operations;
• use the platform for illegal purposes;
• violate intellectual property rights;
• submit spam or abusive content;
• manipulate rankings, reviews or visibility;
• bypass payment obligations;
• misuse RFQ, tender or project features;
• collect user data without authorization.

Violation may result in suspension, restriction, removal of content, account termination, legal action or reporting to relevant authorities.

14. Intellectual Property

All AquaStore platform technology, software, source code, database structure, design, interface, workflows, business logic, logos, trademarks, trade names, platform content, documentation, category structure, taxonomy and related materials are owned by Aquamarket FZCO or its licensors.

Users may not copy, reproduce, modify, distribute, sell, scrape, reverse engineer, create derivative works from or commercially exploit any part of the AquaStore platform without prior written permission.

The name AquaStore, the domain aquastores.net, platform branding, logos and related brand assets are proprietary assets of Aquamarket FZCO.

15. Third Party Services

AquaStore may use third party service providers for hosting, analytics, payments, email services, notifications, advertising, security, customer support, AI features, cloud infrastructure or other platform functions.

AquaStore is not responsible for failures, interruptions, delays, fees, restrictions, policies or actions of third party service providers, except to the extent required by applicable law.

16. AI Features

AquaStore may offer AI search, AI support, AI recommendations or AI assisted platform features.

AI generated outputs may be incomplete, inaccurate or unsuitable for a specific commercial, legal, technical or engineering purpose. Users should independently verify all important information before relying on it.

AquaStore does not guarantee the accuracy, completeness or suitability of AI generated outputs.

17. Availability and Platform Changes

AquaStore may update, modify, suspend, restrict, improve, remove or discontinue any part of the platform at any time.

AquaStore does not guarantee uninterrupted availability, error free operation, permanent access, data availability or continuous functionality.

Maintenance, technical issues, cyber incidents, third party failures or business decisions may affect platform availability.

18. Disclaimer

AquaStore is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, AquaStore disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non infringement, accuracy, availability and business results.

AquaStore does not guarantee that the platform will meet every user requirement or that use of the platform will result in business success.

19. Limitation of Liability

To the maximum extent permitted by law, Aquamarket FZCO shall not be liable for:

• indirect damages;
• incidental damages;
• special damages;
• punitive damages;
• consequential damages;
• loss of profits;
• loss of revenue;
• loss of business opportunity;
• loss of goodwill;
• data loss;
• user disputes;
• transaction failures;
• supplier or buyer misconduct;
• RFQ or tender disputes;
• product or service defects;
• third party actions.

To the maximum extent permitted by law, AquaStore's total liability for any claim shall not exceed the amount paid by the user to AquaStore during the three months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where limitation is not permitted by applicable law.

20. Indemnity

Users agree to indemnify, defend and hold harmless Aquamarket FZCO, its directors, officers, shareholders, employees, contractors, affiliates, service providers and partners from and against any claims, losses, damages, liabilities, costs, expenses and legal fees arising from:

• user content;
• listings;
• RFQs;
• tenders;
• projects;
• transactions with other users;
• breach of these Terms;
• violation of law;
• infringement of third party rights;
• misuse of the platform;
• fraud or misrepresentation;
• product or service claims.

21. Suspension and Termination

AquaStore may suspend, restrict or terminate any account, listing, subscription, promotional service, RFQ, tender, project, content or platform access if AquaStore believes that the user:

• violated these Terms;
• provided false information;
• failed verification;
• failed to pay fees;
• misused the platform;
• created legal, technical, commercial or reputational risk;
• engaged in fraud, abuse or unlawful conduct.

Termination does not affect payment obligations, disclaimers, intellectual property rights, confidentiality obligations, limitation of liability, indemnity or any rights accrued before termination.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, unless AquaStore chooses another competent forum for urgent injunctive, protective or enforcement relief.

23. Changes to These Terms

AquaStore may update these Terms from time to time. Updated Terms will be posted on the platform with a revised "Last Updated" date.

Continued use of the platform after changes means that you accept the updated Terms.
